These Vendor Terms apply to any person or business that applies for or maintains a vendor account on FoodBang, operated by SG Systems PTE. LTD., a Singapore-registered company (“FoodBang”, “we”, “us”). They are in addition to, and incorporate, the general Terms of Service and Privacy Policy. The casual, plain-English version of what we expect lives on the vendor handbook — this page is the formal version.

1. Who can be a vendor

  • You must be 18 years or older.
  • You must personally cook the food, or operate the kitchen that cooks it. No resellers, no dropshippers, no ghost-kitchen networks running third-party brands.
  • You must have the legal authority to prepare and sell food from the address or pickup spot you list.
  • You must hold any license, permit, or registration your jurisdiction requires for the preparation and sale of food — including any home-kitchen, cottage-food, or street-vendor registration.

2. Your obligations as a vendor

2.1 Legal compliance

You are solely responsible for following every law that applies to preparing, selling, and delivering food in your jurisdiction — including food-safety laws, hygiene standards, licensing, zoning, tax registration, labor laws for anyone helping you, and any import regulation applicable to your ingredients.

2.2 Food safety and hygiene

You must meet the food-safety and hygiene standards required by your jurisdiction. You must not knowingly sell food that is unsafe to eat, contaminated, or prepared in conditions that fail your local health rules.

2.3 Accurate representation

Every drop video must be recorded live in-app and depict food that you are actually preparing that day. Menu items must match what you are cooking. Prices quoted in-app are binding for the duration of the drop. If an ingredient changes (for example, no pork today), you must say so before the order is confirmed.

2.4 Allergens and dietary claims

You must truthfully answer eater questions about ingredients, preparation, and allergens. “I'm not sure” is acceptable; guessing is not. You must not label items as vegan, halal, kosher, gluten-free, or otherwise dietary-restricted unless they meet the requirements of that label.

2.5 Order fulfillment

You must respond to order DMs within a reasonable time while your shop is open. You must fulfill orders you confirm, at the prices and times you agree. If you cannot, you must tell the eater without delay and, where possible, refund any amount already paid directly to them.

2.6 Pickup and handoff

You must be at the pickup spot during the pickup window you advertise. If you offer delivery (by you, a helper, or a third-party courier), the quality, safety, and timing of that delivery is your responsibility — not FoodBang's.

2.7 Payment handling

Eaters pay you directly. You are responsible for issuing any receipts required in your jurisdiction, declaring income to the relevant tax authority, and collecting and remitting any VAT/sales tax you are required to collect. FoodBang does not receive, hold, or transfer money between you and an eater.

3. Prohibited practices

You may not:

  • Upload pre-recorded, stock, or reused footage
  • Post drops for food you are not actually cooking that day
  • Resell food you did not prepare, or another kitchen did not prepare on your behalf
  • Operate a FoodBang account as part of a ghost-kitchen or white-label network
  • Harass, abuse, discriminate against, or threaten eaters or other vendors
  • Solicit eaters to avoid any FoodBang feature — for example, off-platform messaging, reviews, or reports — in a way that obscures platform trust signals
  • Use FoodBang to promote unrelated products or services
  • Manipulate discovery, reputation, or any platform signal via bots, sockpuppet accounts, or incentives
  • Attempt to reverse-engineer, scrape, or mirror the platform

4. You are an independent operator

You are an independent operator. You are not an employee, agent, partner, contractor, franchisee, or joint venturer of FoodBang or SG Systems PTE. LTD.

  • FoodBang has no right to direct your day-to-day operations, set your prices, or require specific menus.
  • You have no authority to bind FoodBang or SG Systems PTE. LTD. to any commitment or contract.
  • Nothing in these Vendor Terms creates an employment, franchise, agency, or joint-venture relationship between you and FoodBang.

5. FoodBang's role — what we do, what we don't

FoodBang is a live-video feed plus a direct-messaging thread. That is all we provide.

We do not:

  • Prepare, cook, handle, store, or deliver food
  • Inspect, audit, or certify your kitchen, license, or hygiene
  • Guarantee the quality, safety, or edibility of any food sold through the app
  • Guarantee your revenue, order volume, or continued access to the feed
  • Receive, hold, escrow, or transfer money between you and an eater

The platform is provided “as is” and “as available.” We make no warranties about uninterrupted service, error-free operation, or the suitability of the platform for any particular business purpose.

6. No warranty on your food or business

Nothing on FoodBang constitutes a warranty, representation, or endorsement by FoodBang or SG Systems PTE. LTD. regarding:

  • The quality, safety, or legality of the food you sell
  • The accuracy of your descriptions, menus, allergen information, or dietary claims
  • Your compliance with any law, regulation, or industry standard
  • The conduct of your employees, helpers, or delivery partners
  • The licensing, verification, or vetting of any other vendor on the platform

Eaters who order from you are ordering from you, not from FoodBang.

7. Liability and indemnification

7.1 Your liability

You are solely liable for any injury, illness, allergic reaction, property damage, or legal action arising from food you sell or from your operation of your vendor account — regardless of whether the order was placed via FoodBang.

7.2 Indemnification

You agree to defend, indemnify, and hold harmless FoodBang, SG Systems PTE. LTD., and its officers, employees, and partners from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising out of or related to:

  • The food you prepare, sell, or deliver
  • Your kitchen, equipment, or business operations
  • Your breach of these Vendor Terms, the general Terms of Service, or any applicable law
  • Any claim that you have infringed the rights of a third party, including intellectual-property or publicity rights, in content you post to FoodBang

7.3 Limit on our liability

To the maximum extent permitted by law, FoodBang and SG Systems PTE. LTD. are not liable to you for any indirect, incidental, special, consequential, or punitive damages — including lost revenue, lost profits, lost customers, or reputational harm — whether or not we were advised of the possibility of such damages, and whether the claim is based in contract, tort, strict liability, or any other theory.

8. Account suspension or termination

We may suspend or terminate your vendor account at any time, with or without prior notice, for any of the following:

  • Violation of these Vendor Terms or the general Terms of Service
  • Violation of the rules on the vendor handbook
  • Repeated or serious complaints from eaters
  • Suspected fraud, abuse, or manipulation
  • Any legal, safety, or reputational risk to the platform

You may close your vendor account at any time by emailing sebastian@sg-systems.co or by following the in-app deletion flow described in our Privacy Policy.

9. Disputes between cooks and eaters

FoodBang does not process payments, issue refunds, or act as a legal arbiter between you and an eater. If an eater raises a concern, we may:

  • Review messages exchanged in the relevant chat thread
  • Take a drop down while we review the complaint
  • Remove an eater from the platform if we see abusive behavior

Our decisions about platform access are not judgments about legal liability. Legal liability, if any, sits with you and the eater (and the courts or authorities that have jurisdiction).

10. Data sharing with authorities

If we receive a lawful request from a regulator, tax authority, law-enforcement agency, or court, we may share information about your vendor account — including verification documents, location history, drop history, and DMs related to a given order — to the extent required. Where we are legally permitted, we will notify you; where we are not, we will not.

11. Changes to these Vendor Terms

We may update these Vendor Terms from time to time. If a change is material — meaning it meaningfully changes what you must or must not do, or what we owe you — we will notify you in-app or by email at least 30 days before it takes effect. Continued use of your vendor account after the effective date is your acceptance of the updated terms.

12. Governing law and forum

These Vendor Terms are governed by the laws of Singapore. Any dispute arising out of or relating to these terms or your vendor account shall be brought exclusively in the courts of Singapore, and you submit to the personal jurisdiction of those courts.
